Notice regarding Tender Offer for the Shares of N・FIELD Co., Ltd. (TSE Securities Code: 6077)

We are pleased to announce that Unison Capital Partners V, LPS and Unison Capital Partners V (J), L.P., which Unison Capital, Inc. (“Unison”) manages and advises (collectively, “the Funds”) will launch a public tender offer to all shareholders of N・FIELD Co., Ltd. (“N FIELD”) for the acquisition of all outstanding N FIELD shares via CHCP-HN, Inc. (“CHCP-HN”), which is a wholly-owned subsidiary of CHCP Home Nursing, Inc. (“CHCP Home Nursing”). The Funds hold 100% ownership in CHCP Home Nursing.

N FIELD is a specialized nationwide at-home nursing service provider catering to patients with mental disorders. As a group of professionals with specialties in the field of mental health, N FIELD provides patients with a wide variety of services, from at-home nursing and housing support to life planning consultation, in efforts to improve the patients’ quality of life. The prevalence of mental disorders has become a significant social issue, and N FIELD provides much needed service with great sense of social responsibility.
